01 Acceptance of Terms

These Terms of Use ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Nova Aegis Digital Solutions ("Nova Aegis," "we," "us," or "our"), governing your access to and use of the website at novaaegis.com and any related subdomains (the "Site").

11 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, United States of America, without regard to its conflict of law provisions.

Any legal action or proceeding relating to your access to, or use of, the Site or these Terms shall be instituted in a federal or state court located in Cook County, Illinois. You agree to submit to the personal jurisdiction of the courts located in Cook County, Illinois for the purpose of litigating any such claims.

12 Dispute Resolution

Before initiating any formal legal proceedings, you agree to contact Nova Aegis at legal@novaaegis.com to attempt to resolve the dispute informally. We will use good-faith efforts to resolve disputes within 30 days of receiving written notice.

If the dispute cannot be resolved informally, both parties agree to submit to binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, with proceedings conducted in Chicago, Illinois, before a single arbitrator. The arbitrator's decision shall be final and binding.

Class Action Waiver: You agree to resolve disputes on an individual basis only. You waive any right to participate in class, collective, or representative actions.

13 Modifications to Terms

Nova Aegis reserves the right to modify these Terms at any time. When we make material changes, we will update the "Last Updated" date at the top of this page. For significant changes, we may also provide additional notice (such as a banner on the Site or an email if you have previously contacted us).

Your continued use of the Site after any modifications constitutes your acceptance of the revised Terms. If you do not agree to the modified Terms, you must stop using the Site.

14 Severability & Entire Agreement

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Nova Aegis regarding your use of the Site and supersede all prior agreements, representations, and understandings with respect to the same subject matter.
